摘要：
I. INTRODUCTION The Provisions on Case Guidance ( hereinafter referred to as Provisions) were enacted by the Supreme People’s Court on November 26,2010. The enactment of the Provisions marked a new stage of normative development in theGuiding Case system with Chinese characteristics. According to the Provisions,the Supreme People’s Court issued the first batch of guiding cases on December20,2011,and the second batch of guiding cases,including 2 administrativecases and 2 civil cases respectively,on April 13,2012. The guiding case,No.8,Lin Fangqing v . Changshu Kailai Industry Co. ,Ltd . and DAI Xiaoming ,was recommended by the High People’s Court of Zhejiang province. Afterdiscussion,the Supreme People’s Court believed this case correctly applied thelaw under the comparative principle stipulated by the law,and would havepositive significance in guiding similar cases,protecting shareholders’ legalrights,and regulating the corporate governance structure. ②1This case study thusanalyses and discusses guiding case No. 8,Lin Fangqing v . Changshu KailaiIndustry Co. ,Ltd. and DAI Xiaoming ,which involved a Corporate DissolutionDispute.
